Curralder Manifest — Terms of Service

1. About these terms
These terms govern your use of Curralder Manifest ("the Service"), operated by Curralder ("we", "us", "our"). ABN: [insert ABN].
By creating an account or using the Service, you agree to these terms. If you are using the Service on behalf of an organisation, you confirm you have authority to bind that organisation to these terms.
We provide the Service to businesses and professionals. The Service is not intended for personal or household use. You must be at least 18 years old to use the Service.
2. What the Service does
Curralder Manifest analyses task completion data from your project management tools (currently Jira) to produce delivery forecasts and capacity insights for your engineering teams.
The forecasts produced by the Service are statistical estimates based on historical data. They are not guarantees of future delivery outcomes. Actual results will vary based on team changes, scope changes, and other factors outside the control of the Service.
3. Your account
You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.
Each account belongs to an organisation. The organisation owner controls access, team configuration, and billing. You may invite other users to your organisation.
You agree to provide accurate information when creating your account and to keep it current.
4. Plans and pricing
The Service is available under the following plans:
- Free: Limited to one team and one user, with a reduced forecast horizon. No payment required.
- Pro: Full access to all features, multiple teams and users. Billed monthly or annually in Australian dollars (AUD).
- Founder: A discounted annual plan available to early customers, subject to availability and specific terms communicated at the time of purchase.
Current pricing is published on our pricing page. We may change pricing for future billing periods with at least 30 days notice. Price changes do not affect your current billing period.
Founder plan pricing is locked for the lifetime of a continuous subscription, as described in the Founder plan terms.
5. Billing and payment
Paid plans are billed in advance, either monthly or annually depending on your selection. Payment is processed by Stripe. We do not store your payment card details.
All prices are in Australian dollars (AUD). For Australian customers, prices are GST-inclusive once we are registered for GST. We will clearly indicate when GST applies.
If a payment fails, we will notify you and provide a reasonable period to resolve the issue before restricting access to paid features.
6. Free trials
New accounts receive a 30-day trial of Pro features at no cost. At the end of the trial, your account will revert to the Free plan unless you subscribe to a paid plan.
No payment details are required to start a trial. Your data is retained when reverting to the Free plan, but access is limited to your first team.
7. Cancellation and refunds
You can cancel your paid subscription at any time. Cancellation takes effect at the end of your current billing period. You retain access to paid features until then.
We do not offer prorated refunds for partial billing periods. However, if you are an Australian consumer and the Service fails to meet a consumer guarantee under the Australian Consumer Law, you may be entitled to a remedy including a refund. Nothing in these terms limits or excludes your rights under the Australian Consumer Law.
Founder plan customers who cancel may resubscribe at their original Founder pricing within 5 years of cancellation.
8. Your data
You retain ownership of all data you provide to the Service or that the Service retrieves from your connected tools (such as Jira). We do not claim ownership of your data.
We access your Jira data solely to provide the Service. This includes task metadata such as issue types, statuses, resolution dates, and assignee information. We use this data to calculate completion rates and generate forecasts.
We do not access the content of your Jira issues (such as descriptions, comments, or attachments) beyond what is necessary to identify task types and completion status.

9. Data retention and deletion
While your account is active, we retain your data for the purpose of providing the Service.
If you delete your account, we will retain your data for 30 days in case you wish to reactivate. After 30 days, your data is permanently deleted from our systems.
You may request immediate deletion of all your data at any time by contacting support@curralder.com. We will process immediate deletion requests within 5 business days.
If you downgrade from a paid plan to the Free plan, your data is retained but access is limited to your first team. Data for additional teams remains stored but inaccessible until you upgrade again.
10. Acceptable use
You agree not to:
- Use the Service to breach any applicable law or regulation
- Attempt to access other organisations' data or accounts
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Use the Service to monitor, evaluate, or score individual employee performance. The Service is designed for team-level capacity planning, not individual surveillance.
- Resell, sublicense, or redistribute access to the Service without our written consent
- Interfere with or disrupt the integrity or performance of the Service
- Upload or transmit malicious code through the Service
We may suspend or terminate your account if you breach these terms.
11. Anti-surveillance commitment
Curralder Manifest is designed for team-level planning and forecasting. We do not provide features that identify, rank, or compare individual contributors' performance. This is a deliberate product decision, not a limitation.
If you attempt to use the Service to monitor individual employee performance, you are in breach of these terms.
12. Service availability
We aim to keep the Service available and reliable, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
We do not offer a formal Service Level Agreement (SLA) at this time. If this changes, we will communicate any SLA terms separately.
13. Third-party services
The Service integrates with and depends on third-party services including Atlassian Jira, Google Cloud Platform, Neon (database hosting), Stripe (payment processing), PostHog (product analytics), and Sentry (error monitoring).
We are not responsible for the availability, accuracy, or performance of these third-party services. Your use of Jira and other connected tools remains subject to those providers' own terms of service.
14. Intellectual property
The Service, including its design, methodology, statistical models, and software, is owned by Curralder. These terms do not grant you any rights to our intellectual property beyond the right to use the Service as described.
Your data remains yours. We may use anonymised, aggregated data (that cannot identify you or your organisation) to improve the Service.
15. Limitation of liability
To the maximum extent permitted by law, our total liability to you for any claim arising from or related to the Service is limited to the amount you paid us in the 12 months preceding the claim.
We are not liable for any indirect, incidental, consequential, or special damages, including loss of profits, data, or business opportunities.
Nothing in these terms excludes or limits liability that cannot be excluded or limited under Australian law, including liability under the Australian Consumer Law.
16. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, or damages arising from your breach of these terms, your use of the Service, or your violation of any law or third-party rights.
17. Changes to these terms
We may update these terms from time to time. We will notify you of material changes by email at least 30 days before they take effect.
Your continued use of the Service after changes take effect constitutes acceptance of the updated terms. If you do not agree with the changes, you may cancel your subscription before they take effect.
18. Termination
We may suspend or terminate your account if:
- You breach these terms and do not remedy the breach within 14 days of being notified
- You use the Service for unlawful purposes
- Your payment is overdue by more than 30 days after notification
If we terminate your account, we will provide you with an opportunity to export your data before deletion, except in cases of serious breach or unlawful use.
You may close your account at any time. The data retention terms in Section 9 apply.
19. Disputes
These terms are governed by the laws of Queensland, Australia.
If a dispute arises, we both agree to first attempt to resolve it through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may pursue resolution through the courts of Queensland, Australia.
Nothing in this section limits your right to take action under the Australian Consumer Law.
20. General
- If any part of these terms is found to be unenforceable, the remaining parts continue to apply.
- Our failure to enforce any part of these terms is not a waiver of our right to do so later.
- These terms constitute the entire agreement between you and Curralder regarding the Service.
- You may not assign or transfer your rights under these terms without our written consent.
- We may assign our rights and obligations under these terms in connection with a merger, acquisition, or sale of assets.
